SUPPLYOPOLIS – TERMS OF SALE

All sales by Supplyopolis LLC (“Supplyopolis”, “Seller”, “we”, “us”, or “our”) are made subject to the following Terms & Conditions of Sale (“Terms”). These Terms override any additional or conflicting terms issued by the Buyer (“Buyer”), unless expressly agreed to by Supplyopolis in writing.

Placement of an order constitutes Buyer’s unconditional acceptance of these Terms.

1. Offer, Acceptance & Agreement

These Terms govern all quotations, orders, and sales provided by Supplyopolis. Any additional or different terms proposed by Buyer are rejected unless explicitly accepted in writing by Seller. Performance of an order does not constitute acceptance of Buyer’s terms.

2. Orders & Acceptance

All orders are subject to review and acceptance by Supplyopolis. Seller reserves the right to decline any order. No order may be cancelled or modified without written approval from Seller.

3. Pricing & Payment

Prices are those stated in the Sales Documents issued by Seller.
Unless otherwise agreed in writing:

  • Payment terms are Net 30 days from invoice date
  • Late payments accrue interest at 1.5% per month (or the maximum allowed by law)
  • Buyer is responsible for all collection costs, including legal fees

4. Taxes & Duties

Prices exclude all taxes, duties, tariffs, or governmental charges. Buyer is responsible for these. If Seller pays any such amounts, Buyer must reimburse Seller in full.

5. Shipping, Delivery & Risk of Loss

Delivery to the carrier constitutes delivery to Buyer.

Buyer assumes all risk of loss or damage in transit, regardless of freight terms.

Seller may deliver in installments. Delays in any installment do not relieve Buyer of obligations for remaining deliveries.

Claims for shortages or errors must be submitted in writing within 10 days of receipt. Failure to provide such notice constitutes acceptance.

Delivery dates are estimates. Seller is not liable for delays caused by:

  • Acts of God
  • Transportation delays
  • Material shortages
  • Labor disputes
  • Government actions
  • Any event beyond Seller’s control

Buyer’s sole remedy for delay is cancellation and return of undelivered goods.

6. Inspection & Acceptance

Buyer must inspect goods immediately upon receipt.
Claims for defects must be made in writing within 10 days.
Returns require Seller’s written authorization.

7. Warranty

EXCEPT AS EXPRESSLY AGREED IN WRITING, GOODS ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

Seller is not liable for damages resulting from:

  • Improper installation
  • Misuse
  • Modification
  • Misapplication
  • Improper product selection

Some jurisdictions do not allow certain exclusions; in such cases, limitations apply to the maximum extent permitted.

8. Limitation of Liability

Seller’s total liability is limited to:

  • Repair
  • Replacement
  • OR refund of the purchase price

Seller is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, or use.

9. Returns & Cancellations

Returns require written authorization.

  • Standard restocking fee: 25%
  • Special-order items: 30% restocking fee
  • No refunds after 30 days;  credit note only
  • Items must be unused, undamaged, in original packaging
  • No returns for custom, modified, or non-stock items

If a return is due to Seller error, Seller will correct the issue at its expense.

10. Force Majeure

Seller is not liable for delays or failures caused by events beyond its control. Delivery dates may be extended or orders cancelled without liability.

11. Compliance with Laws

Buyer is responsible for ensuring compliance with all laws and regulations related to the purchase, use, handling, installation, and resale of goods — including export controls.

12. Confidentiality

Both parties shall keep confidential any non-public information exchanged during the transaction. This does not apply to information that becomes publicly available.

13. Intellectual Property

Seller retains all rights to its intellectual property. Buyer may not reproduce, reverse engineer, or modify Seller’s goods or technical data.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction where Supplyopolis LLC is registered.

Disputes shall be resolved through:

  1. Good-faith negotiation
  2. If unresolved, binding arbitration or litigation at Seller’s discretion

Buyer consents to jurisdiction in Seller’s home jurisdiction.

15. Entire Agreement

These Terms, together with applicable Sales Documents, constitute the entire agreement between Buyer and Seller.

16. Amendments

No changes to these Terms are valid unless agreed in writing by Seller.

17. Assignment

Buyer may not assign rights or obligations without Seller’s written consent. Seller may assign without Buyer’s consent.

18. Severability

If any provision is invalid, the remainder remains enforceable.

19. Notices

Notices must be in writing and delivered personally, by courier, or registered mail to the address designated by each party.

20. Relationship of the Parties

Seller and Buyer are independent contractors. No agency, partnership, or joint venture is created.

21. Survival

All provisions intended to survive termination will remain in effect.

22. Changes to Products

Seller may modify product design, materials, or specifications without prior notice where necessary or beneficial.

23. Typographical Errors & Incorrect Pricing

If a pricing error occurs, Seller may correct or cancel the order. If payment has been made, Seller will issue a refund for the incorrect amount.

24. Quantity Limits & Restrictions

Seller may limit quantities or restrict sales to resellers at its discretion.

25. Product Suitability

Buyer is responsible for ensuring product suitability for its specific application, jurisdiction, and regulatory environment.

26. Buyer Responsibilities

Buyer must provide accurate information and ensure safe conditions for any onsite work or services performed.

27. Environmental Compliance

Buyer agrees to comply with all environmental regulations regarding handling, storage, use, and disposal of goods.

28. Technical Assistance

Any technical guidance provided by Seller is advisory only. Buyer is solely responsible for determining suitability.
